Please read these Terms and Conditions ("Terms") carefully before using the website, platform, and services operated by Epoch Inc. ("Epoch," "we," "our," or "us"). By accessing, using, or subscribing to the Epoch platform, you ("User," "you," or "your") agree to comply with and be bound by these Terms.

If you do not agree to these Terms, you should refrain from accessing or using our platform. Your continued use of Epoch constitutes acceptance of these Terms, as they may be updated or amended by Epoch from time to time.

1.1 Company Information 1.1.1 Epoch Inc. is a registered C Corporation under the laws of the United States. 1.1.2 Epoch is a quantitative trading platform designed to allow traders to build, backtest, and deploy algorithmic trading strategies without the need to write code. The platform provides a wide range of market data, algorithmic frameworks, and tools to help users research and test trading strategies. 1.2 No Financial Advice 1.2.1 Epoch does not offer any form of financial, investment, or trading advice. All content, tools, algorithms, and services provided on the platform are for informational and educational purposes only. 1.2.2 By using the platform, you acknowledge that you are fully responsible for your trading decisions. Epoch disclaims all liability for losses, damages, or negative outcomes resulting from the use of the platform and any trading activities related to it.
2.1 General Use of Platform 2.1.1 Epoch provides market data and tools that allow users to create and backtest algorithmic strategies. 2.1.2 Users can customize strategies based on their preferences and can choose to deploy these strategies in a live trading environment through third-party broker integrations. 2.1.3 Epoch does not execute trades on behalf of users and does not have access to users' brokerage accounts or financial portfolios. 2.2 Accuracy and Reliability of Data 2.2.1 While Epoch makes reasonable efforts to provide accurate and up-to-date market data, the platform and the data it delivers may contain inaccuracies, omissions, or outdated information. 2.2.2 Epoch cannot guarantee the accuracy, completeness, or reliability of the market data provided by third-party sources, and users are encouraged to independently verify the data before making any financial or investment decisions. 2.2.3 Epoch disclaims any liability for errors in the market data or its unavailability.
3.1 Non-Advisory Role 3.1.1 Epoch is not a registered investment advisor, financial planner, broker, or dealer. 3.1.2 The algorithms, strategies, and market data available on the platform are for research purposes only. Nothing on the platform constitutes financial, investment, legal, or tax advice. 3.1.3 All trading decisions made by the User are the User's sole responsibility, and Epoch shall not be held liable for any investment losses, errors, or omissions that may arise from the use of the platform's services. 3.2 No Guarantee of Results 3.2.1 Past performance of any trading strategies, market trends, or backtested algorithms is not indicative of future results. 3.2.2 Epoch makes no representations or warranties regarding the potential profitability or performance of any trading strategy or algorithm available on the platform. 3.2.3 Epoch shall not be liable for any losses, including but not limited to direct, indirect, incidental, punitive, or consequential damages, arising from the use of the platform or any reliance on the tools and data provided.
4.1 Subscription-Based Access 4.1.1 Access to the Epoch platform is available through paid subscription plans, either on a monthly basis or via a pre-paid 12-month term at a discounted rate. 4.1.2 Subscription plans are designed to provide Users with access to all or certain features of the platform, depending on the subscription level chosen. 4.2 Payment and Billing 4.2.1 Payment Methods: All payments must be made via valid payment methods, including credit cards, debit cards, or other payment services supported by Epoch's payment processor. 4.2.2 Billing Cycle: Monthly subscriptions will be billed on a recurring basis every 30 days. Annual subscriptions will be billed at the start of the 12-month term. 4.2.3 Auto-Renewal: By subscribing to Epoch, you acknowledge that your subscription will automatically renew at the end of each billing cycle, and you authorize Epoch to charge the applicable subscription fee to your chosen payment method unless you cancel the subscription in accordance with Section 4.4. 4.3 No Refunds and Final Sale Policy 4.3.1 All Sales Final: All sales are final and no refunds or credits will be issued once a subscription payment has been processed. 4.3.2 No Cancellations or Refunds: Users may cancel their subscription at any time, but cancellations will only apply to future billing cycles. There will be no refunds for any partial month or year of service, including unused platform access or features. 4.3.3 Epoch reserves the right to refuse refund requests and to modify, suspend, or terminate any services at any time without liability. 4.4 Cancellation Policy 4.4.1 User-Initiated Cancellation: Users may cancel their subscription by accessing their account settings on the Epoch platform or contacting our customer support team. Cancellations must be made prior to the next billing cycle to avoid being charged for the subsequent period. 4.4.2 Epoch is not responsible for any issues that arise due to delayed or incorrect cancellations initiated by the User.
5.1 Use of Third-Party Data 5.1.1 Epoch obtains market data from third-party providers to supply Users with reliable financial data. The platform's data feeds may include real-time or delayed information. 5.1.2 Epoch does not guarantee the availability, accuracy, completeness, or timeliness of third-party data feeds, and Epoch shall not be responsible for any inaccuracies in this data. 5.2 No Liability for Data Providers 5.2.1 Epoch's market data providers are third parties, and as such, Epoch shall not be liable for any errors, delays, or disruptions in the data services. 5.2.2 Users acknowledge that third-party data services may be subject to maintenance, outages, or errors beyond Epoch's control. Epoch will not be liable for any damages arising from such issues.
6.1 Collection of User Data 6.1.1 Epoch collects and stores information about how Users interact with the platform, including activity logs, platform usage data, and transaction data, to improve platform functionality and tailor the User experience. 6.1.2 The personal information collected will be managed in accordance with Epoch's Privacy Policy, which is incorporated by reference into these Terms. 6.2 Use and Disclosure of Data 6.2.1 No Sale of Data: Epoch will not sell, rent, or share User data with third parties for marketing purposes. 6.2.2 Service Providers: Epoch may share User data with third-party service providers, including payment processors, hosting services (such as AWS), and analytics providers, solely for the purpose of operating the platform and improving service quality.
7.1 Future Broker Connectivity 7.1.1 Epoch plans to offer connectivity to third-party brokers in the future, allowing Users to execute trades through integrated brokerage accounts. 7.1.2 Users understand that by connecting their brokerage accounts to the platform, all trading actions are executed via the third-party broker, and Epoch is not involved in the execution, performance, or settlement of trades. 7.2 No Access to User Accounts 7.2.1 Epoch will not have access to User brokerage account details, balances, or transaction histories, except as required for authorized use of the platform's functionalities. 7.2.2 Epoch is not responsible for any trade executions, errors, or unauthorized activities on the User's brokerage account resulting from third-party services.
8.1 Ownership of Platform Content 8.1.1 All content, algorithms, software, tools, design elements, text, graphics, logos, images, and other materials available on the Epoch platform (collectively, "Content") are the exclusive property of Epoch or its licensors. 8.1.2 You may not copy, modify, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any Content without express written permission from Epoch.
9.1 Account Registration 9.1.1 In order to use certain features of the platform, you may be required to create an account by providing accurate and complete information, including a valid email address, name, and payment details. 9.1.2 You are responsible for maintaining the confidentiality of your account login credentials and are fully responsible for all activities that occur under your account. 9.1.3 Epoch reserves the right to suspend or terminate your account at any time if it determines that you have violated these Terms or engaged in fraudulent or abusive activity. 9.2 Prohibited Conduct 9.2.1 Users agree not to engage in any of the following prohibited activities: • Attempting to gain unauthorized access to Epoch's systems, user accounts, or data. • Using Epoch's platform to engage in any unlawful activities, including securities fraud or market manipulation. • Reverse engineering, decompiling, or attempting to extract the source code of the platform. • Engaging in any activity that could disrupt, damage, or impair the functioning of the platform, including the use of bots, scrapers, or automated tools. 9.2.2 Epoch reserves the right to investigate and prosecute violations of these Terms to the fullest extent of the law. 9.3 Compliance with Laws 9.3.1 You agree to comply with all applicable local, state, national, and international laws, rules, and regulations in connection with your use of the platform. 9.3.2 If your activities on the platform are subject to any specific regulatory compliance requirements (e.g., SEC, CFTC, etc.), it is your responsibility to ensure you meet those requirements independently.
10.1 General Limitation 10.1.1 To the fullest extent permitted by applicable law, Epoch and its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or relating to: • The use or inability to use the platform. • Any content or data provided by third-party sources. • Any errors, mistakes, inaccuracies, or delays in data or any decision made in reliance on such data. 10.1.2 This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, even if Epoch has been advised of the possibility of such damages. 10.2 Platform Downtime and Data Loss 10.2.1 Epoch makes no guarantees regarding the availability or uptime of the platform. There may be occasions when the platform is unavailable due to scheduled maintenance, technical issues, or events outside of our control. 10.2.2 Epoch shall not be responsible for any data loss, missed trading opportunities, or financial losses that result from platform outages or interruptions. 10.3 Third-Party Brokers and Services 10.3.1 Any third-party services (e.g., brokers, market data providers) used in conjunction with Epoch are governed by the terms and conditions of those third parties. 10.3.2 Epoch is not responsible for the availability, reliability, or accuracy of services provided by third-party brokers or for the execution of trades made through their platforms.
11.1 User Obligation to Indemnify 11.1.1 You agree to indemnify, defend, and hold harmless Epoch, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: • Your use of the platform. • Your violation of these Terms. • Your violation of any applicable law, regulation, or third-party rights.
12.1 Modifications to Terms 12.1.1 Epoch reserves the right, at its sole discretion, to modify or update these Terms at any time. If we make material changes, we will notify Users through a prominent notice on the platform or by email. 12.1.2 Continued use of the platform following the posting of any changes to these Terms constitutes acceptance of those changes. 12.2 Modifications to the Platform 12.2.1 Epoch reserves the right to modify, update, or discontinue any features of the platform at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of any part of the platform.
13.1 Termination by User 13.1.1 You may terminate your account at any time by contacting Epoch's customer support or by using the account cancellation feature available on the platform. 13.1.2 Upon termination, you will no longer have access to the platform, and all fees paid to Epoch are non-refundable. 13.2 Termination by Epoch 13.2.1 Epoch reserves the right to suspend or terminate your access to the platform at any time, with or without cause, including if you violate any provisions of these Terms. 13.3 Effects of Termination 13.3.1 Upon termination, any rights granted to you under these Terms will immediately cease, and you agree to discontinue all use of the platform. 13.3.2 Epoch shall not be liable for any termination of your account or access to the platform.
14.1 Entire Agreement 14.1.1 These Terms constitute the entire agreement between you and Epoch and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Epoch with respect to the platform. 14.2 Severability 14.2.1 If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. 14.3 Waiver 14.3.1 No waiver of any provision or condition of these Terms will be effective unless made in writing and signed by Epoch. Failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision. 14.4 Force Majeure 14.4.1 Epoch shall not be held responsible or liable for any failure or delay in its performance under these Terms that is due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, shortages, or interruptions in supply chains, labor disputes, government actions, or failure of third-party providers.
